Role Purpose:The Sr. Corporate Governance Manager is responsible for developing, implementing, and maintaining the organization’s corporate governance framework to ensure compliance with applicable laws, regulations, governance codes, and leading practices. The role provides expert advice to the Board of Directors, Board Committees, Executive Management, and business functions on governance matters, ensuring effective decision-making, accountability, transparency, and ethical business conduct.<br>The incumbent oversees governance policies, Board and Committee governance processes, delegated authorities, governance reporting, and governance improvement initiatives while fostering a strong governance culture across the organization.<br>Roles & Responsibilities: 1. Strategy and Governance Develop and continuously enhance the Corporate Governance Framework in alignment with the organization’s strategic objectives and applicable governance standards. Ensure governance principles are embedded across all business functions. Monitor emerging governance trends and recommend improvements to strengthen governance maturity. Monitor governance-related regulatory developments and assess organizational impact. Support regulatory inspections and governance reviews4. Governance Policies and Frameworks Develop, maintain, and periodically review governance manuals, policies, frameworks, and procedures. Manage the Delegation of Authority (DoA) Framework and governance approval processes. Maintain governance documentation and organizational governance structures. Support the periodic review of the organization’s governance model.5. Stakeholder Management Act as the primary governance adviser to management on governance-related matters. Build effective relationships with Board members, Executive Management, Internal Audit, Risk, Compliance, Legal, and external regulators. Education & Qualification:Bachelor’s degree in law, Business Administration, Corporate Governance, Finance, Accounting, or a related discipline. Master's degree (MBA, LLM, or equivalent) is desirable. <p>Overview This role leads the Compliance & Ethics function for the Egypt business, being responsible for implementing all aspects of PepsiCo’s global compliance program, including: overseeing a complex Speak Up docket and ensuring proper investigation and remediation of all issues, particularly PSVs; delivering ethics and ABAC training to key stakeholders and functions; supporting a strong tone at the top by promoting and coordinating senior leadership messaging; maintaining the effectiveness of the Third Party Due Diligence program across Egypt; supporting a robust control environment, including leading Egypt’s Control Environment Council and providing all C&E information required for each quarter close; and identifying and working to remediate compliance risks to Egypt’s businesses identified through various avenues (e.g., Speak Up, internal risk assessments, corporate audits, etc.).
