Lead company incorporations, corporate restructuring, capital increases and reductions, amendments to articles of association, and other corporate actions. Draft, review, and negotiate complex commercial agreements, shareholders’ agreements, joint venture agreements, service agreements, and other corporate contracts. Manage corporate governance matters, including board and shareholders’ meetings, resolutions, minutes, and statutory documentation. Lead and support mergers and acquisitions, legal due diligence, corporate reorganizations, and investment transactions. Prepare and review legal opinions, memoranda, transaction documents, and advisory reports. Advise clients on Egyptian corporate, commercial, investment, and regulatory requirements. Liaise with GAFI and other relevant governmental and regulatory authorities. Identify legal and regulatory risks and provide practical, commercially focused recommendations. Manage key client relationships and ensure high-quality and timely delivery of legal services. Supervise, mentor, and review the work of junior lawyers and team members. Support business development initiatives and contribute to expanding the firm’s corporate legal practice.<br>Qualifications & Experience Bachelor’s degree in Law from a recognized university. Minimum 10 years of relevant professional experience in corporate and commercial law. Excellent command of Arabic and English, both written and spoken. Licensed and registered to practice law in Egypt. Strong experience in corporate law, commercial contracts, governance, restructuring, and transactional matters. Previous experience within a reputable law firm or professional services firm is highly preferred. Excellent knowledge of Egyptian corporate, commercial, and investment laws and regulations. Strong legal drafting, negotiation, analytical, and problem-solving skills. Proven client management and leadership capabilities. Ability to manage multiple complex assignments independently.
