Corporate Governance Manager

Job Overview:


To establish a clear governance framework which defines how the organization’s Corporate Governance Documents are established, developed, reviewed, maintained, updated and approved as per Corporate Governance Standards and regulatory requirements.


Job Responsibilities:


  • Conduct corporate governance gap analysis and maturity assessment.
  • Establish and tracking the governance documents’ versions, amendments, and authorization bodies for all in scope governance frameworks and policies.
  • Establish a comprehensive filing system for documented frameworks, ensuring easy access and transparency.
  • Contributed to the design of new process, policy, and procedure frameworks based on evolving board needs and industry best practices.
  • Ensure prompt awareness of regulatory requirements and changes related to corporate governance.
  • Guide the organization to comply with its corporate governance disclosure obligations based on the regulatory requirements and best practices.
  • Analyse implementation auditing results to identify obstacles that are leading to inefficiency or do not comply with the company’s vision and values and take corrective actions to implement solutions.
  • Identify potential overlaps and or gaps within processes to increase efficiencies.
  • Responsible of all corporate governance related communications with regulator and the related parties
  • Manage all Governance Documents communications and ensure they are promptly communicated to the concerned parties.
  • Ensure accurate and timely updates to documented frameworks and manuals, reflecting operational changes and regulatory updates.
  • Support other functions on the development and documentation of frameworks, policies and procedures in a consistent manner across the organization based on the regulatory framework.


Qualifications:


  • Bachelor’s degree in related field
  • 10+ years of experience in similar role
  • Proven working knowledge of current governance legislation and best practices
  • Microsoft Office Proficiency (Word, PowerPoint, Excel)
  • Excellent written and verbal communication skills, experience working with top management and C-suite executives.
  • Interpersonal skills and the ability to work comfortably with other people.
  • The ability to manage time, prioritise and work independently when needed.
  • High standard of business-writing for building the frameworks and writing the needed reports
  • Excellent command of English and Arabic
