The lawyer will be responsible for drafting, reviewing, and negotiating a wide range of commercial contracts and legal documents to safeguard Eagle Chemicals Group’s business interests. This role ensures full legal compliance, mitigates contractual risks, and supports internal departments with professional legal guidance on all contractual matters.

Key Responsibilities:

1. Contract Management:

• Draft, review, and negotiate various types of contracts including supply agreements, service agreements, NDAs, agency/distributor agreements, and other commercial contracts.
• Ensure all contracts are legally sound and aligned with company policies and business objectives.
• Maintain a proper filing system and contract tracking database to monitor renewals and obligations.

2. Legal Advisory:

• Provide expert advice on contract interpretation, rights, obligations, and risks to internal stakeholders.
• Advise on compliance with Egyptian laws, international trade regulations, and corporate governance requirements.
• Support management in legal risk assessment and mitigation strategies.

3. Dispute Resolution & Compliance:

• Assist in handling disputes, claims, or litigations related to contractual issues.
• Ensure that all business operations comply with relevant laws and regulations.
• Coordinate with external legal counsel when required.

4. Policy & Process Improvement:

• Contribute to the development and implementation of internal contract policies, templates, and best practices.
• Support continuous improvement initiatives within the legal department to increase efficiency and minimize legal exposure.

5. Corporate Governance Related Tasks:

• Drafting of the general assemblies and the boards minutes of meetings in accordance with regulatory requirements.
• Take care of the procedures with the Financial Regulatory Authority (FRA), The general Authority for Investment & Free Zones (GAFI) and Misr for Central Clearing, Depository, and Registry (MCDR) in connection with ratifying the general assemblies and the boards minutes of meetings in addition to the consequent procedures related to adjustments in the commercial register, the articles of association and dividends distribution.
