Role Summary
The Corporate & Contracts Lawyer will provide strategic legal support on corporate, commercial, and contractual matters. The role involves drafting, reviewing, and negotiating complex agreements, advising on corporate governance and compliance.
Key Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts (joint ventures, supply, service, distribution agreements, NDAs, etc.).
- Advise on corporate governance, structuring, compliance, and regulatory matters.
- Support senior management in strategic decision-making by identifying risks and proposing mitigation strategies.
- Manage corporate filings, board/shareholder resolutions, and secretarial matters.
- Advise on M&A transactions, including due diligence and transaction documentation.
- Develop and implement contract management policies, templates, and best practices.
- Liaise with external counsel where specialized legal expertise is required.
- Ensure compliance with applicable laws and regulations.
- Handle disputes and potential claims related to contracts, in coordination with litigation teams.
