Position Overview:
The Board Secretary plays a critical role in ensuring the smooth functioning of the board of directors and maintaining compliance with corporate governance standards. This position is responsible for managing board meetings, maintaining accurate records, facilitating communication, and ensuring adherence to legal and regulatory requirements.
Key Responsibilities:
- Coordinate and schedule board meetings, including logistics, venue arrangements, and meeting notices.
- Prepare meeting agendas and distribute board materials (agendas, reports, minutes) in advance.
- Attend board meetings, record minutes, and maintain accurate records of proceedings.
- Ensure compliance with bylaws and governance policies during meetings.
- Maintain a comprehensive filing system for board records, resolutions, contracts, and legal documents.
- Update and manage corporate governance documents, including bylaws and policies.
- Oversee the retention and disposal of corporate records in compliance with legal requirements.
- Serve as the primary point of contact for board members, addressing inquiries and facilitating communication.
- Maintain an updated list of board member contact information.
- Prepare and distribute official correspondence on behalf of the board.
- Ensure compliance with regulatory requirements and corporate governance best practices.
- Assist in preparing and filing legal and regulatory documents, such as annual reports and disclosures.
- Stay informed about changes in corporate governance laws and regulations.
- Provide administrative support to board committees, including scheduling meetings and maintaining records.
- Prepare and distribute committee meeting materials and minutes.
- Monitor and ensure compliance with legal and regulatory requirements, including filing deadlines.
- Assist in preparing annual reports and corporate filings.
- Uphold the highest standards of confidentiality and ethical behavior in all board-related matters.
Bachelor's degree in business administration, law, or a related field (advanced degree preferred). From 10 to 15 years’ experience. Proven experience in a corporate governance or similar role. Knowledge of corporate governance principles, regulations, and best practices. Strong organizational, communication, and interpersonal skills. Attention to detail and a high degree of accuracy. Ability to work independently, manage multiple tasks, and meet deadlines. Proficiency in MS Office and board management software.
