Job Description:

As a Governance Building and Activation Consultant, your role is to provide expert guidance and support to organizations in establishing, enhancing, and activating governance structures and processes. You will collaborate with clients to assess their governance needs, develop tailored strategies, and implement frameworks that promote transparency, accountability, and effective decision-making.

Key Responsibilities:

Governance Assessment:

• Conduct comprehensive assessments of the client's governance practices, structures, and policies to identify strengths, weaknesses, and areas for improvement.
• Analyze governance frameworks, charters, bylaws, and operating procedures to ensure alignment with regulatory requirements and industry best practices.

Governance Strategy Development:

• Work closely with clients to develop governance strategies, goals, and objectives that support organizational mission, vision, and values.
• Design governance models, structures, and mechanisms that enhance transparency, accountability, and stakeholder engagement.

Policy and Process Development:

• Develop and review governance policies, procedures, and guidelines to ensure clarity, consistency, and compliance with legal and regulatory standards.
• Draft governance documents, including board charters, committee mandates, codes of conduct, and conflict of interest policies.

Board and Committee Support:

• Provide guidance and support to boards of directors, committees, and advisory groups on governance matters, roles, and responsibilities.
• Facilitate board and committee meetings, agenda development, and decision-making processes to promote efficiency and effectiveness.

Training and Capacity Building:

• Develop and deliver training programs, workshops, and educational materials to build the capacity of board members, executives, and staff in governance principles and practices.
• Provide coaching and mentorship to governance leaders and stakeholders to enhance their understanding of governance roles and responsibilities.

Risk Management and Compliance:

• Identify governance-related risks and vulnerabilities within the organization and develop strategies to mitigate and manage them effectively.
• Ensure compliance with applicable laws, regulations, and industry standards related to governance, ethics, and corporate responsibility.

Stakeholder Engagement and Communication:

• Engage with internal and external stakeholders, including shareholders, regulators, and community partners, to build trust and credibility in the organization's governance practices.
• Communicate governance policies, decisions, and outcomes to stakeholders through various channels, such as annual reports, newsletters, and stakeholder meetings.
