COMMERCIAL ADVISOR

An experienced professional who will be responsible for supporting drafting and negotiations of commercial agreements in-line with the company’s strategic objectives, and ensuring the implementation of the terms of the agreements during the operations phase. In this role the commercial advisor will be expected to provide commercial insights and to collaborate with cross-functional teams in order to implement the company’s overall strategy, commitments and obligations while preserving the Company’s rights under the agreements and optimizing the company’s financial value. 



Responsibilities

·     Draft, negotiate and execute the relevant commercial agreements including – but not limited to- Production Sharing Agreements, Joint Operating Agreements, Gas Sales Agreements, Bidding agreements, tolling agreements …etc.  

·     Support commercial due diligence for M&A activity

·     Assess optimum commercial structure for project agreements.  

·     Work closely with the Economics and planning team to maximize value for the Company under project agreements  

·  Ensure compliance with the commercial work obligations and financial commitments for the agreements in place.

·    Ensure alignment with Government and partners for projects deliverables and timeline in order to preserve value and corporate integrity.

·    Ensure compliance to the terms, rights and obligations of the Company under project commercial agreements

·    Collaborate with cross functional teams to address projects milestones, technical scope, and other deliverables as necessary to execute the commercial agreements.

·     Ensure partners’ alignment for the relevant commercial aspects of the projects.

·    Support negotiations with partners, government entities and third parties to execute the commercial agreements in-line with the aligned company’s strategy.

·     Align with Management on the negotiation strategy & boundaries and feedback results / outcomes. 

·   Provide commercial insights for project evaluations, value optimization, funds allocation, projects’ milestones and exposure in-light of the company strategy.

·     Benchmark against industry precedents .

·     Follow through with value optimization interventions that would enhance the company’s financial metrics.

·     Evaluate and communicate to management the commercial risks associated with the projects.

·     Provide commercial solutions to address and mitigate against such risks in the relevant agreements in order to preserve the company’s value.

·   Collaborate with our Legal counsel to ensure addressing such commercial risks to eliminate the company exposure.

·    Support in developing marketing material including Information memorandums and management presentations


Qualifications

Education: Bachelor’s degree in Business, Economics or Finance.


Experience: Minimum 6-8 years of experience in a commercial role within the Oil and Gas industry, with a focus on Upstream.

  • Knowledge of Upstream Oil and Gas industry and associated commercial agreements.
  • Proven track record for negotiation skills and managing commercial agreements.
  • Ability to assimilate projects’ milestones and commercial obligations from complex agreements.

  • Strong interpersonal skills to build and maintain relationships across various external stakeholders.
  • Skills to compile strategic management presentations to facilitate decision making.
  • Analytical skills, especially with regards to financial and economic indicators as well as an ability to identify key commercial and business risks.
  • Proficiency in written and spoken English and Arabic.
